These Studio Licence and Terms of Use apply to the purchase and use of the Renegade Brand Strategy Prompt Pack.

The product is supplied by Renegade Creative trading as Renegade Creative, ABN 36 619 292 750, of Bellingen, NSW, referred to in these terms as Renegade Creative.

The purchaser and licensed business are referred to as you, your, the Licence Holder or the Studio.

By purchasing, accessing or using the product, you agree to these terms.

1. Definitions

In these terms:

Authorised User means an owner, employee or contractor permitted to use the Engine under your Studio Licence.

ChatGPT means the third-party platform and services operated by OpenAI through which the Engine is accessed.

Delivery Page means the private webpage through which the Prompt Pack and supporting resources are provided.

Prompt Pack means the Renegade Brand Strategy Prompt Pack, including its prompts, workflows, written instructions, frameworks, supporting guides, updates and related materials.

Provider Materials means all content supplied by Renegade Creative, including prompts, workflow structures, instructions, wording, layouts, methods, guides, product branding and supporting resources.

Studio Licence means the limited licence granted under these Terms to one independent user or one eligible studio.

Third-Party Platform means any external platform used with the Prompt Pack, including ChatGPT, OpenAI, Perplexity or another AI, research, document or software provider.

2. Purchase and acceptance

Your purchase creates a binding agreement between you and Renegade Creative comprising:

• these Terms
• the product description displayed at the time of purchase
• the details entered during checkout
• any applicable invoice or order confirmation

You confirm that:

• the information supplied during purchase is accurate
• you are legally able to enter into this agreement
• where purchasing for a business, you have authority to bind that business
• you have reviewed the product requirements before purchasing

Access is provided digitally following successful payment.

3. Licence grant

Subject to payment and compliance with these Terms, Renegade Creative grants you a limited, non-exclusive, non-transferable and revocable licence to use the Prompt Pack:

• as one independent user; or
• within one studio or business with up to five Authorised Users

The Prompt Pack may be used across unlimited client projects undertaken through the licensed business.

This is a licence to use the Prompt Pack. Ownership of the Prompt Pack and Provider Materials is not transferred to you.

4. Licence duration

Your licence to use the version of the Prompt Pack purchased by you continues unless it is terminated under these Terms.

You should download and retain your own copy of the Prompt Pack and any permitted supporting materials.

Access to updates is included for 12 months from the purchase date, as described in section 15.

5. Authorised Users

A Studio Licence permits access by no more than five Authorised Users at one time.

Authorised Users must:

• work within or directly for the licensed business
• use the Prompt Pack only for projects conducted through that business
• be informed of and comply with these Terms
• keep the Prompt Pack and Delivery Page private

Authorised Users may include employees and regular contractors working under the direction of the licensed business.

You remain responsible for all use of the Prompt Pack by your Authorised Users.

An Authorised User who leaves the business may be replaced, provided that no more than five people have access at one time.

Businesses that are separate legal entities require separate licences, even where they share owners, directors, employees or premises.

6. Permitted use

You and your Authorised Users may:

• use the prompts and workflows for your own client projects
• paste the prompts into individual project conversations on approved Third-Party Platforms
• adapt the prompts to suit a particular client, category or project
• create reasonable internal working copies
• edit, brand and present Client Outputs through your own studio
• charge clients for services and deliverables created with the Prompt Pack
• incorporate Client Outputs into broader strategy, design or consulting services
• share completed Client Outputs with the relevant client
• use the Prompt Pack internally to support your own business or brand strategy

Attribution to Renegade Creative is not required in Client Outputs.

7. Client use

Your clients may receive the completed Client Outputs created for them.

Your clients must not receive or access:

• the Prompt Pack
• individual prompts copied from the Prompt Pack
• the Delivery Page
• supporting product resources
• your login or access details
• Renegade Creative’s proprietary workflow materials

You must not give a client access to the Prompt Pack so they can run the workflow themselves.

Where a client wants direct access or independent use, they must purchase their own licence.

8. Prohibited use

You must not, and must not permit another person to:

• share, forward, publish or distribute the Prompt Pack
• share the Delivery Page or download links outside the licensed business
• sell, sublicense, rent, lend or transfer the Prompt Pack
• upload the Prompt Pack to a public drive, prompt library, template marketplace or resource library
• reproduce the Prompt Pack in a course, workshop, membership, coaching program, presentation, guide or educational product
• provide the prompts as a client deliverable
• use the Prompt Pack as the basis of a competing prompt pack, workflow, framework, product or service
• remove Renegade Creative branding and present the Provider Materials as your own
• translate or reformat the Prompt Pack for distribution
• publish screenshots, recordings or substantial extracts that reveal the prompts or workflow
• use the Prompt Pack to train, fine-tune or build an AI model, dataset or automated product
• embed the Prompt Pack in a Custom GPT, chatbot, knowledge base, application, automated workflow or AI assistant for repeated or shared access
• allow another studio, freelancer, agency or associated business to use your licence
• attempt to extract, reproduce or distribute Renegade Creative’s underlying proprietary materials beyond the permitted use

Pasting an individual prompt into a private client-project conversation for its intended use is permitted.

9. Intellectual property

All intellectual property rights in the Prompt Pack and Provider Materials remain owned by Renegade Creative or its licensors.

This includes rights in:

• the selection and sequence of workflows
• the prompts and prompt structures
• written instructions and explanatory material
• proprietary terminology
• supporting resources
• product design, branding and presentation
• future revisions and updates

Your purchase does not grant permission to reproduce or commercialise the Provider Materials outside the permitted client-service use described in these Terms.

Any feedback, suggestions or improvement ideas you voluntarily provide may be used by Renegade Creative to improve its products without payment or obligation to you.

10. Client Outputs

As between you and Renegade Creative, Renegade Creative does not claim ownership of your client-specific Client Outputs.

You may edit, brand, present, commercialise and deliver those outputs as part of your own services.

This does not transfer ownership of any Provider Materials that may appear within or alongside a Client Output.

Your rights in AI-generated or externally sourced content may also be affected by:

• the terms of the relevant Third-Party Platform
• applicable intellectual property law
• third-party trademarks, copyright or other rights
• material supplied by your client

You are responsible for confirming that your intended use of each Client Output is lawful and appropriate.

11. Third-Party Platforms

The Prompt Pack is designed to be used with Third-Party Platforms that are not owned or controlled by Renegade Creative.

You are responsible for:

• creating and maintaining the accounts needed to use those platforms
• paying any platform subscription or usage fees
• complying with each platform’s current terms and policies
• selecting appropriate privacy and data settings
• managing upload, message, research and usage limits
• maintaining access to your accounts
• reviewing any changes made by the platform provider

Renegade Creative does not guarantee that any Third-Party Platform will continue to offer a particular feature, model, interface, download format or level of access.

Renegade Creative is not responsible for platform outages, account restrictions, pricing changes, subscription changes, lost conversations, altered features or discontinued services.

12. Client information and privacy

You are responsible for ensuring that you have the right and permission to upload or process any client material through a Third-Party Platform.

Before uploading information, you should consider:

• your client agreement
• confidentiality obligations
• privacy obligations
• the sensitivity of the material
• the Third-Party Platform’s terms and privacy controls

You must not upload information where doing so would breach a law, confidentiality obligation, client agreement or third-party right.

You are responsible for removing unnecessary personal, confidential or sensitive information and maintaining your own secure copies of all source documents and Client Outputs.

Renegade Creative does not ordinarily receive or have access to the project conversations you conduct within your own Third-Party Platform accounts.

13. Accuracy and professional responsibility

The Prompt Pack is a professional workflow and educational resource. It does not replace your professional judgement or responsibility to your client.

You are responsible for:

• the information and instructions you provide to an AI or research platform
• reviewing research sources and citations
• checking facts, claims and assumptions
• identifying hallucinated, inaccurate or outdated material
• resolving material contradictions
• assessing strategic relevance
• editing and approving the final work
• determining whether a Client Output is suitable to present or implement
• obtaining specialist legal, financial, regulatory or other advice where required

You must not represent an AI-generated statement as verified fact without appropriate review.

Renegade Creative does not approve, supervise or accept responsibility for individual Client Outputs created through your use of the Prompt Pack.

14. No guaranteed outcome

The Prompt Pack is designed to support stronger project inputs and a more rigorous strategy process.

Renegade Creative does not guarantee:

• a particular creative or commercial outcome
• that every AI response will be accurate, original or useful
• that a client will approve the work
• increased revenue, conversion, recognition or business performance
• that the output will be legally protectable or available for registration
• that an output will be free from similarity to third-party material
• that every project will require the same amount of questioning, research or refinement

Results depend on factors including the quality of the source material, the user’s judgement, the Third-Party Platform selected and the way the workflow is applied.

15. Product updates

Your purchase includes access to Prompt Pack updates released during the first 12 months following purchase.

Updates may include:

• corrections
• revised prompts
• workflow improvements
• formatting changes
• clarifications
• replacement download files

Updates do not include separate products, new product lines, custom services or substantial future programs unless Renegade Creative expressly includes them.

Renegade Creative decides whether an alteration is an update to the Prompt Pack or a separate product.

After the 12-month update period, you may continue using the version already supplied to you, subject to these Terms.

Renegade Creative is not required to maintain, update or support a particular version indefinitely.

16. Onboarding support

Your purchase includes onboarding support for 14 calendar days from the purchase date.

Onboarding support covers:

• accessing the Delivery Page
• downloading the Prompt Pack
• understanding the intended workflow
• general setup questions
• clarification about which documents move between workflow stages

Onboarding support does not include:

• reviewing or rewriting a client strategy
• assessing the quality of your source material
• completing research for you
• strategic consulting
• naming, copywriting or design services
• client feedback
• individual team training
• troubleshooting a Third-Party Platform account, subscription, outage or billing issue
• customising the Prompt Pack for your business

Renegade Creative does not guarantee an immediate response or support outside reasonable business availability.

17. Price and payment

The price is the amount displayed at checkout at the time of purchase.

Unless stated otherwise:

• payment is required in full before access is provided
• prices are displayed in Australian dollars
• applicable GST treatment will be shown at checkout or on the invoice
• you are responsible for any bank, conversion, payment-provider or international transaction fees

If a payment is reversed, disputed, charged back or found to be unauthorised, Renegade Creative may suspend access while the matter is investigated.

18. Refunds and Australian Consumer Law

Because the Prompt Pack is a digital product supplied with immediate access, refunds are not provided for:

• change of mind
• failure to use the product
• deciding that the product is no longer required
• purchasing without reviewing the product description or requirements
• dissatisfaction caused solely by the output of a Third-Party Platform
• loss of access to your Third-Party Platform account
• failure to follow the workflow or provide suitable project information

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or another applicable law.

Where the Australian Consumer Law applies and the Prompt Pack has a failure that entitles you to a remedy, Renegade Creative will provide the remedy required by law.

19. Product availability and delivery

Renegade Creative will take reasonable steps to provide access following successful payment.

You are responsible for:

• providing the correct email address
• checking spam or junk folders
• downloading and storing your own copy
• contacting Renegade Creative promptly if access information is not received

Renegade Creative may change the hosting platform, Delivery Page, download link or method of delivery where reasonably necessary.

Temporary interruptions caused by maintenance, security issues, hosting providers, payment providers or circumstances outside Renegade Creative’s reasonable control do not automatically entitle you to a refund.

20. Suspension and termination

Renegade Creative may suspend or terminate your licence where it reasonably believes that:

• the Prompt Pack has been shared outside the licensed business
• more than five Authorised Users have been given access
• the Delivery Page or files have been publicly distributed
• the Prompt Pack has been copied, resold or used in a competing product
• you have breached these Terms
• payment has been reversed or remains unpaid
• continued access creates a security, legal or intellectual property risk

Where appropriate, Renegade Creative may ask you to remedy the breach before termination.

For a serious or deliberate breach, access may be terminated immediately and without refund, subject to any rights that cannot legally be excluded.

On termination:

• your right to use the Prompt Pack ends
• you must stop using and distributing the Provider Materials
• you must delete copies held by people who are no longer authorised
• clauses intended to survive termination continue to apply

Termination does not affect accrued rights or remedies.

21. Warranties and disclaimers

To the extent permitted by law, the Prompt Pack is provided on an “as available” basis.

Renegade Creative does not warrant that:

• access will be uninterrupted
• every prompt will perform identically across platforms or models
• Third-Party Platforms will follow every instruction
• outputs will be error-free
• research sources will remain accessible
• downloaded files will retain a particular filename or format
• the Prompt Pack will suit every studio, client, category or workflow

Any descriptions, examples, testimonials or sample outputs demonstrate possible use only and are not guarantees of your results.

Nothing in this section limits a right or guarantee that cannot legally be excluded.

22. Limitation of liability

To the maximum extent permitted by law, Renegade Creative is not liable for indirect, incidental, special or consequential loss arising from or connected with the Prompt Pack, including:

• lost profits or revenue
• lost business opportunities
• loss of client relationships
• reputational damage
• lost data or files
• reliance on inaccurate AI output
• third-party intellectual property claims arising from Client Outputs
• a client’s decision to reject or not implement work
• Third-Party Platform failures or account restrictions

Where liability cannot legally be excluded but may be limited, Renegade Creative’s liability will be limited, at its option and to the extent permitted by law, to:

• resupplying the relevant product or service
• supplying an equivalent product or service
• paying the reasonable cost of resupply

Where those limitations are not legally available, Renegade Creative’s total aggregate liability will not exceed the amount you paid for the Prompt Pack, except where the law does not permit that limitation.

23. Your responsibility for claims

You are responsible for claims, losses or costs arising from:

• your unlawful or unauthorised use of client material
• your breach of confidentiality or privacy obligations
• your misuse or unauthorised sharing of the Prompt Pack
• representations you make to your clients
• Client Outputs you approve, publish or implement
• your breach of a Third-Party Platform’s terms
• your infringement of another person’s intellectual property rights

To the extent permitted by law, you agree to compensate Renegade Creative for reasonable losses or costs arising directly from your material breach of these Terms or unlawful use of the Prompt Pack.

This obligation does not apply to the extent that the loss was caused by Renegade Creative’s own negligence, unlawful conduct or breach.

24. Changes to the Prompt Pack

Renegade Creative may revise the Prompt Pack to:

• improve the workflow
• correct errors
• respond to platform changes
• protect intellectual property
• address legal, security or operational requirements

A revision does not create an obligation to preserve previous wording, prompts, formats or platform recommendations.

25. Changes to these Terms

Renegade Creative may update these Terms where reasonably necessary.

A change will not retrospectively remove rights already accrued.

Where a material change affects ongoing use, reasonable notice may be provided through email, the Delivery Page or the website.

Continuing to use the Prompt Pack after an updated version takes effect constitutes acceptance of the revised Terms, to the extent permitted by law.

26. Communications

You agree that communications relating to your purchase may be sent electronically to the email address supplied at checkout.

You are responsible for keeping your contact information current.

Product and licence communications are separate from optional marketing communications.

27. Transfer and assignment

You may not transfer, assign or sublicense your Studio Licence without prior written permission from Renegade Creative.

Renegade Creative may assign or transfer its rights and obligations as part of a sale, restructuring or transfer of the relevant business or product, provided that doing so does not materially reduce your existing rights.

28. Disputes

Before commencing formal proceedings, the parties agree to make a genuine effort to resolve a dispute.

The party raising the dispute should provide written notice explaining:

• the issue
• the relevant purchase or licence details
• the outcome sought

The other party should be given a reasonable opportunity to respond.

Nothing in this clause prevents either party from seeking urgent relief or exercising rights under applicable consumer law.

29. General provisions

Entire agreement

These Terms, the checkout information and the product description form the entire agreement relating to the Prompt Pack and replace earlier discussions or representations about its use.

Severability

If any provision is found to be invalid or unenforceable, it will be read down where possible. The remaining provisions continue in effect.

No waiver

A failure or delay in enforcing a right does not waive that right.

No partnership

Nothing in these Terms creates an employment, partnership, joint venture, agency or franchise relationship.

Headings

Headings are included for convenience and do not affect interpretation.

30. Governing law

These Terms are governed by the laws of New South Wales, Australia.

The parties submit to the courts and tribunals with jurisdiction in New South Wales, subject to any applicable consumer right to bring a claim elsewhere.

27. Acceptance

By completing your purchase, accessing the Delivery Page, downloading the Prompt Pack or using any Provider Materials, you confirm that you have read, understood and agreed to these Terms.
